Novig Points Program Terms and Conditions

THESE NOVIG POINTS PROGRAM TERMS AND CONDITIONS ARE IN ADDITION TO, AND INCORPORATE BY REFERENCE, THE NOVIG TERMS OF USE, INCLUDING THE BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 16 THEREOF, BY WHICH YOU CONTINUE TO BE BOUND. YOU SHOULD CAREFULLY RE-REVIEW. BY ENROLLING, YOU EXPRESSLY ACKNOWLEDGE THAT YOU SHALL CONTINUE TO BE BOUND, AND ABIDE BY, THE NOVIG TERMS OF USE.

1. Description of Program

Welcome to the Novig Points Program (the “Program”), where participants who meet the eligibility requirements (as defined in Section 4) will be eligible to accrue Novig Points, reach monthly Program tiers, unlock intra-month rewards, and receive end-of-month prizes based on their monthly progress.

The Program is offered by Novig Sweeps, LLC (“Novig”), located at 169 Madison Avenue #2199 New York, NY 10016. A Point does not create a property or contractual right or relationship between you and Novig. The terms “you” or “your” mean the person who participates in this Program. Participation in the Program is expressly conditioned upon acceptance of and compliance with all of these Program terms and conditions (“Program Terms and Conditions”). Program participants may be required to sign paperwork issued by Novig. Participation in the Program is voluntary and requires explicit opt-in consent from each eligible participant prior to enrollment.

2. Acceptance of Terms

By enrolling in, accessing, or participating in the Program, including by earning Points, you acknowledge that you have read, understood, and agree to be bound by these Program Terms and Conditions, as may be amended from time to time in accordance with Section 18.6.

THESE PROGRAM TERMS AND CONDITIONS ARE IN ADDITION TO, AND INCORPORATE BY REFERENCE, THE NOVIG TERMS OF USE, INCLUDING THE BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 16 THEREOF, BY WHICH YOU CONTINUE TO BE BOUND. YOU SHOULD CAREFULLY RE-REVIEW.

To the extent there is any conflict between these Program Terms and Conditions and the Novig Terms of Use, the Novig Terms of Use shall prevail and control. If you do not agree to these Program Terms and Conditions along with the Novig Terms of Use, you may not participate in the Program.

3. Program Period

The Program runs continuously from the Launch Date (defined as April 1, 2026) with no scheduled end date, subject to Novig's right to modify, suspend, or terminate the Program under Section 9.

The Program operates on monthly periods, each running from 6:00 AM ET on the first day of a calendar month through 5:59 AM ET on the first day of the following calendar month (each a “Monthly Period”). Points earned during a Monthly Period determine a user’s tier status for the immediately following Monthly Period. New users will commence participation at the Sapphire tier until the close of their first full Monthly Period.

Points accumulate in a user’s lifetime balance and do not reset at the close of a Monthly Period. Monthly Point totals used for tier qualification purposes reset to zero at the start of each new Monthly Period and do not carry forward.

Point thresholds required to achieve each tier status are set forth in Section 6 and are subject to change in accordance with Section 9.

4. Eligibility & Registration

4.1 Eligibility Criteria

To qualify for the Program, eligible individuals must have registered a Novig account as defined in the Novig Terms of Use (a “Novig Account”), be located in a legal jurisdiction, and verified their identity in order to play on the Novig mobile application, web application, or API (the “Novig Platform”). Creating a Novig Account is free. By submitting your information and creating a Novig Account, however, participants will be required to agree to the Novig Terms of Use and consent to the Novig Privacy Policy (the “Privacy Policy”). If you do not agree to the Novig Terms of Use and consent to the Privacy Policy, you cannot create a Novig Account and you cannot participate in this Program.

4.2 Account in Good Standing

To be eligible to enroll and participate in the Program, you must maintain an account in good standing with Novig at all times during the Program Period. For purposes of these Program Terms and Conditions, an account is in “good standing” if, at the relevant time, all of the following conditions are satisfied:

(a) the account is active and has not been suspended, restricted, or terminated by Novig for any reason;

(b) you are not subject to a self-exclusion;

(c) you are in compliance with these Program Terms and Conditions and the Novig Terms of Use in all material respects;

(d) your account has passed all applicable verification requirements, including identity and age verification, as required by Novig or applicable law; and

(e) your account has no unresolved chargebacks or payment disputes.

By participating in the Program, you represent and warrant that you are not subject to any of the categories in this Section 4.2. If, after enrolling in the Program, anything in this Section is applicable to you, Novig reserves the right to remove you from the Program, without notice.

4.3 Effect of Loss of Good Standing

If your account ceases to be in good standing, then you will immediately and automatically:

(a) lose eligibility to earn additional Points; and

(b) may be subject to forfeiture of your entire Points balance in accordance with Section 8.1 of these Terms.

Restoration of good standing does not automatically restore eligibility to earn Points suspended during the period of non-compliance, and any Points forfeited during that period will not be reinstated except at Novig’s sole discretion.

5. Limitations on Participation

In addition to the eligibility requirements in Section 4, Novig reserves the right to refuse or otherwise restrict your eligibility to participate in the Program for any reason, in its sole discretion, including based on your trading patterns or trading history or if you failed to take advantage of any previous promotion in good faith. This Program is void where prohibited by law.

6. How to Earn Points

You earn Novig Points four ways: placing eligible parlays, having your “make” orders filled, completing daily drop challenges (which are subject to change on a per drop basis), and completing monthly challenges (which will be subject to their own separate terms and conditions).

7. Restrictions on Redemption

Points are non-transferable and may not be redeemed for cash or withdrawn from the platform in any form.

8. Points Forfeiture & Adjustment

8.1 Forfeiture

Your entire Points balance is immediately forfeited, without compensation, upon: (a) closure, suspension, or termination of your account for any reason; (b) your enrollment in a self-exclusion program; or (c) termination of the Program.

8.2 Restoration and Clawback

Novig has no obligation to restore forfeited Points but may do so as a courtesy in exceptional circumstances, without establishing any precedent or future obligation. Restoration requests must be submitted to [email protected] within thirty (30) days of the triggering event. This Section operates independently of Section 8.3.

8.3 Novig’s Right to Adjust

Novig reserves the right, in its sole and absolute discretion, to adjust, reduce, cancel, or reclaim (“clawback”) any Points credited to your account at any time in the following circumstances:

(a) the Points were credited in error, including as a result of a technical malfunction, system error, inaccurate data feed, or administrative mistake;

(b) the trade or transaction giving rise to the Points has been voided, reversed, cancelled, or refunded for any reason;

(c) the underlying payment or deposit associated with the qualifying activity is charged back, reversed, or otherwise not honored by the relevant financial institution;

(d) Novig determines, in its reasonable judgment, that the Points were obtained through fraud, misrepresentation, collusion, bonus abuse, multi-accounting, or any other activity that violates these Program Terms and Conditions or the Novig Terms of Use, which are all expressly incorporated by reference in the Program Terms and Conditions, and to which you remain bound;

(e) Novig is required to void or reverse the underlying transaction by applicable law, regulation, or directive of a competent regulatory authority; or

(f) your Novig Account is suspended, restricted, or closed pursuant to the Novig Terms of Use or applicable law.

8.4 No Liability for Adjustment

Novig shall not be liable to you for any loss, damage, or inconvenience arising from a Points adjustment made in accordance with this Section. Adjustments made due to error or system malfunction do not constitute a breach of these Terms.

8.5 Notice

Novig will endeavor to notify you of any material adjustment to your Points balance, but is not obligated to provide advance notice prior to making an adjustment where Novig determines, in its reasonable judgment, that doing so could compromise the integrity of an investigation, the Novig systems, or facilitate further abuse.

8.6 No Vested Rights in Points

Points do not constitute property of you, have no cash value except as expressly provided in these Terms, and are not transferable. You have no vested right in any Points balance, and Novig’s issuance of Points does not create any obligation to maintain, preserve, or honor such Points beyond what is expressly set forth in these Terms.

9. Program Changes & Termination

Novig may change or terminate the Program, or any part thereof, at any time, and may add to and/or change these Terms at any time. For example, Novig may make changes related, but not limited, to:

  • How Points are earned, including how the amount of Points earned on each trade is determined;

  • The intra-month rewards available for each tier;

  • The end-of-month prizes available for each tier;

  • The Point thresholds for each tier.

Where reasonably practicable, Novig will provide advance notice of material changes via email, in-app notification, or posting to the Novig website. Continued participation in the Program following the effective date of any change constitutes acceptance.

Notwithstanding the foregoing, Novig may make immediate changes required by applicable law, regulation, or regulatory directive. No change to the earning rate for Points applies retroactively to qualifying activity completed prior to the effective date of the change.

10. Responsible Gameplay

10.1 General Policy

Novig is committed to promoting responsible participation across all of its products, including the Program. Participation in the Program is intended to enhance your experience and should never serve as a reason or incentive to trade, or participate beyond your personal limits. You are encouraged to review the Novig Responsible Gameplay Policy, incorporated into these Program Terms and Conditions by reference.

10.2 Program Design

The Program is designed to reward eligible activity and is not intended to encourage excessive or problem trading. You should not increase the size, frequency, or risk profile of your trades or contract positions for the purpose of earning or retaining Points or tier status.

10.3 Self-Exclusion

If you are subject to any platform self-exclusion, then you are ineligible to participate in the Program for the duration of that exclusion. Any Points earned in violation of this Section are subject to forfeiture and clawback under Sections 8.1 and 8.3. Novig reserves the right to immediately suspend your ability to earn Points upon becoming aware of any such exclusion, without prior notice.

10.4 Marketing Communications

If you have opted out of marketing communications or are subject to a responsible trading restriction, then you will not receive Program-related promotional communications for the duration of the restriction or opt-out. Novig will not use your Points balance, tier status, or earning activity to target marketing communications to you if you have indicated a desire to limit your platform engagement.

11. Privacy & Data Use

Participation in the Program is subject to the Privacy Policy, which is incorporated into these Terms by reference. By participating in the Program, you acknowledge that Novig may collect, use, and process data generated through Program participation, including Points earning activity and tier status, in accordance with the Privacy Policy. Novig may use this data to personalize Program-related communications and offers. If you wish to limit such use, you may do so to the extent provided by the privacy controls available in your account settings or as otherwise described in the Privacy Policy.

12. Intellectual Property

All names, marks, logos, Program mechanics, and content associated with the Program are the proprietary intellectual property of Novig and are protected by applicable intellectual property laws. Participation in the Program does not grant you any license or right to use Novig’s intellectual property. You may not reproduce, modify, distribute, or otherwise exploit any Program-related intellectual property without Novig's prior written consent.

13. Tax Disclosure

You are solely responsible for all tax obligations arising from participation in the Program, consistent with Section 18.2 of the Novig Terms of Use.

14. Limitation on Liability

The Limitation of Liability and Indemnification provisions in Section 14 of the Novig Terms of Use are incorporated by reference and apply to all Program-related claims.

Novig’s total aggregate liability for any Program-related claim shall not exceed the lesser of: (a) the actual cash value of the disputed Points; or (b) Fifty U.S. Dollars and Zero Cents ($50.00). Novig shall have no liability for indirect, incidental, special, consequential, or punitive damages of any kind, including loss of Points, loss of tier status, Program modification or termination under Section 9, or technical failures outside Novig’s reasonable control.

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROGRAM-RELATED CLAIM IS LIMITED TO THE REMEDIES EXPRESSLY SET FORTH IN THESE TERMS AND SECTION 14.4 OF THE NOVIG TERMS OF USE. INCLUDING THE DISPUTE RESOLUTION PROCESS, AND THE BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 16 THEREOF, BY WHICH YOU CONTINUE TO BE BOUND.

15. Complaint & Cancellation

Should you wish to cancel your participation in the Program at any time, please contact [email protected]. Upon cancellation, your Points balance will be forfeited in accordance with Section 8.1 of these Program Terms and Conditions.

To submit a complaint regarding the Program, including any dispute relating to Points earning, crediting, adjustment, or tier status, please contact [email protected] with a description of your complaint and the remedy you are seeking. Novig will endeavor to respond within thirty (30) days. All complaints are subject to the Initial Dispute Resolution Procedure set forth in Section 15 of the Novig Terms of Use, which must be exhausted prior to initiating arbitration under Section 18.

Novig reserves the right to cancel your participation in the Program at any time for any reason, including for violation of these Program Terms and Conditions or the Novig Terms of Use, without affecting your underlying account unless separately terminated under the Novig Terms of Use.

16. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to the Program, these Program Terms and Conditions, or the earning, adjustment, or forfeiture of Points (a “Program Dispute”) is subject to, and shall be resolved exclusively in accordance with, the Customer Service and Initial Dispute Resolution Procedure set forth in Section 15 of the Novig Terms of Use, and the Binding Arbitration Agreement and Class Action Waiver set forth in Section 16 of the Novig Terms of Use, which are incorporated herein by reference in its entirety. Capitalized terms used but not defined in these Program Terms and Conditions have the meanings given in the Novig Terms of Use.

17. Class Action Waiver

17.1 Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL PROGRAM DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. AS SET FORTH IN SECTION 16.15 OF THE NOVIG TERMS OF USE, USERS MAY NOT PROCEED AS A CLASS REPRESENTATIVE OR MEMBER OF ANY CLASS, COLLECTIVE, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR QUI TAM ACTION IN CONNECTION WITH ANY PROGRAM DISPUTE, WHETHER IN ARBITRATION OR IN COURT.

17.2 Severability

If this Section or Section 16.15 of the Novig Terms of Use is found unenforceable as to a particular claim, that claim shall proceed in court on an individual basis only. All remaining claims shall continue in arbitration under Section 16 above. The parties agree that this severability provision reflects their intent that Program Disputes never proceed on a class or representative basis under any circumstances.

18. General Terms

18.1 Severability

If any provision of these Program Terms and Conditions is found invalid or unenforceable, that provision shall be severed and the remainder shall continue in full force and effect.

18.2 Waiver

Novig's failure to enforce any provision of these Program Terms and Conditions at any time does not constitute a waiver of its right to do so in the future.

18.3 Entire Agreement

These Program Terms and Conditions, together with the Novig Terms of Use and all incorporated policies, constitute the entire agreement between the parties with respect to the Program and supersede all prior representations, communications, and understandings relating to the Program.

18.4 Survival

The following sections survive termination of the Program or these Program Terms and Conditions for any reason: Sections 8 (Points Forfeiture & Adjustment), 12 (Intellectual Property), 13 (Tax Disclosure), 14 (Limitation of Liability), 15 (Complaint & Cancellation), 16 (Dispute Resolution), and 17 (Class Action Waiver).

18.5 Assignment

Novig may assign these Program Terms and Conditions and any rights hereunder without notice to you or your consent. You may not assign your Program participation, account, or Points balance to any third party. Any purported assignment by you is null and void.

18.6 Amendments

From time to time, Novig may modify or amend these Program Terms and Conditions. If Novig does so, any such modifications or changes shall be reflected in the Program Terms and Conditions, as applicable, on the Novig Platform. We may also, but shall not be required to, notify you by email regarding any material changes to the Program Terms and Conditions or incorporated policies, including the Novig Terms of Use and Privacy Policy. Whether you receive or review such notifications, you agree that you will be bound by any such changes and that it shall be your responsibility to check the Program Terms and Conditions, including the incorporated policies, as posted on the Novig Platform prior to accessing the Novig Platform or participating in the Program. Your further participation in the Program after any changes are posted shall constitute further consent and agreement to the Program Terms and Conditions as changed or amended.

18.7 Governing Law

These Program Terms and Conditions are governed by the laws of the State of Delaware, consistent with Section 19 of the Novig Terms of Use. All other miscellaneous provisions of the Novig Terms of Use, including force majeure, business transfers, and third-party beneficiaries, apply to these Program Terms and Conditions with equal force.
